Title: At-Large Trustee
Eligibility: Must be working full-time on an Institutional Member’s campus during the term of office.

Responsibilities:

Act as a voting member of the board. The board has full authority and responsibility in setting organizational direction, ensuring necessary resources and providing oversight  of the association.

Duties: 

1. Attend three board meetings per year, having reviewed all materials sent prior to the meeting, and contribute to the meetings by expressing one’s point of view with the best interest of the association in mind.
2. Attend the national conference each year.
3. Attend other meetings/conferences as directed by the chairperson to assure successful implementation of the annual and strategic plans.
4. Actively support and promote NACUFS’ programs, products and services.
5. Have a working knowledge of NACUFS’ governing documents, including:
   a. NACUFS Bylaws
   b. NACUFS Policies 
   c. NACUFS Strategic Plan
   6. Fulfill other assignments as delegated by the chairperson.

Effective November 2022 
 
Position: Guest Trustee 
 
Eligibility: Open

Responsibilities: 

1. Act as a voting member of the board. The board has full authority and responsibility in 
   setting organizational direction, ensuring necessary resources and providing oversight of 
   the association.

Duties: 

1. Attend three board meetings per year, having reviewed all materials sent prior to the meeting, and contribute to the meetings by expressing one’s point of view with the best interest of the association in mind.
2. Attend other meetings/conferences as directed by the president to assure successful implementation of the annual and strategic plans.
3. Have a working knowledge of NACUFS governing documents, including:
   a. NACUFS Bylaws
   b. NACUFS Policies 
   c. NACUFS Strategic Plan
   d. NACUFS Regional Operating Manual (TBD)
4. Fulfill other assignments as delegated by the president.
5. This is a one-year term, with the eligibility of one additional consecutive term.
6. All expenses related to attending board meetings will be covered by NACUFS and will include:
   a. Up to three nights hotel
   b. Travel to and from the meeting location
   c. Meals
   d. Miscellaneous expenses (i.e., transportation to and from the airport, taxi fare, luggage fees, airport parking fee)
7. At NACUFS’ expense, the guest trustee is invited to attend the national conference following his/her term in office. If the guest trustee serves a one-year term, s/he would be invited to attend one national conference. If the guest trustee serves a two-year term, s/he would be eligible to attend two national conferences. Covered conference expenses include:
   a. Conference registration
   b. Four night’s hotel
   c. Travel to and from the conference
   d. Meals not covered by the conference registration
   e. Miscellaneous expenses (i.e., transportation to and from the airport, taxi fare, luggage 
   fees, airport parking fee

Eligibility: Must be working full-time on an Institutional Member’s campus during the term of office.

1. Provide continuity for the board.
2. Support the president in setting organizational direction, ensuring necessary resources and providing oversight of the association.

Duties:

1. Attendance at the board of trustee meetings to serve as a resource and share experiences gained as chairperson-elect and chairperson, and to maximize the continuity of leadership, committee projects and programs.
2. Attend three board meetings per year, having reviewed all materials sent prior to the meeting, and contribute to the meetings by expressing one’s point of view with the best interest of the association in mind.
3. Attend the national conference each year.
4. Attend other meetings/conferences as directed by the chairperson to assure successful implementation of the annual and strategic plans.
5. Facilitate an orientation session for new board members at the national conference.
6. Serve as chair of the nominating committee.
7. Actively support and promote NACUFS’ programs and services.
8. Fulfill other assignments as delegated by the chairperson.

Effective November 2022 
 
Position: Industry Trustee 
 
Eligibility: Must be employed by an Industry member during the term of office.

Responsibilities:

1. Act as a voting member of the board. The board has full authority and responsibility in setting organizational direction, ensuring necessary resources and providing oversight of the association.

Duties:

1. Attend three board meetings per year, having reviewed all materials sent prior to the meeting, and contribute to the meetings by expressing one’s point of view with the best interest of the association in mind.
2. Attend the national conference each year.
3. Attend other meetings/conferences as directed by the president to assure successful implementation of the annual and strategic plans.
4. Actively support and promote NACUFS’ programs, products and services.
5. Have a working knowledge of NACUFS governing documents, including:
   a. NACUFS Bylaws
   b. NACUFS Policies 
   c. NACUFS Strategic Plan
   d. NACUFS Regional Operating Manual (TBD)
6. Fulfill other assignments as delegated by the president.

Eligibility: Must be working full-time on an Institutional Member’s campus during the term of office.

Responsibilities: 

Lead the board of trustees which has full authority and responsibility for:

1. Setting organizational direction.
   a. Engage in strategic thinking and planning
   b. Assumes responsibility for the association’s consistent achievement of its mission and vision for the future
   c. Establish annual plan and strategic plan priorities
2. Ensure necessary resources.
   a. Ensure the presence of a capable and responsible board
   b. Optimizes the relationship between the board and CEO, helping him/her to achieve the mission of the association
   c. Ensure adequate financial resources and organizational capacity
3. Provide oversight.
   a. Assures that the board fulfills its responsibilities for the governance of the 
   association
   b. Assures that the association is making consistent and timely progress toward 
   the fulfillment of the strategic plan
   c. Oversees financial management
   d. Legal/financial risk management

Duties: 

1. Preside at all board meetings, see that the board functions effectively.
2. Serve as ex-officio member of all committees.
3. Set the agenda for each meeting of the board.
4. Serve as the presiding officer of the General Membership Assembly.
5. Along with the president, act as an official representative and spokesperson for the association. The chairperson may designate this responsibility if desired.
6. Appoint such committees and their chairs as are needed to assist the association in carrying out its activities.
7. Appoint task forces as required to ensure successful implementation of the strategic plan.
8. Prepare the performance review of the president.
9. Act as chair of the executive committee and board of trustees.
10. Attend three board meetings per year, having reviewed all materials sent prior to the meeting, and contribute to the meetings by expressing one’s point of view with the best interest of the association in mind.
11. Attend the national conference each year.
12. Attend other meetings/conferences as needed to assure successful implementation of the annual and strategic plans.
13. Recruit board members and other talent for volunteer assignments as needed with the intention of creating future leaders.
14. Annually focus the attention of the board of trustees on matters of organizational governance with a focus on the mission and strategic plan.
15. Actively support and promote NACUFS’ programs and services
16. Have advanced knowledge of NACUFS’ governing documents, including:
    a. NACUFS Bylaws
    b. NACUFS Policies 
    c. NACUFS Strategic Plan
17. Fulfill such other assignments as are appropriate and desirable for the chairperson
    to perform.

Responsibilities:

1. Develop a complete understanding of the responsibilities and duties of NACUFS chairperson to ensure a smooth transition to the position of chairperson.
2. Assist the chairperson in setting organizational direction, ensuring necessary 
   resources and providing oversight of the association.

Duties: 

1. Presents to the board of trustees for approval at the spring board meeting a recommended candidate for guest trustee.
2. Serve as a member of the finance/audit committee.
3. Facilitate an orientation session for new board members at the national conference.
4. Preside over board meetings in the absence of the chairperson.
5. Perform the duties of the chairperson in his/her absence or incapacity.
6. Serve as a member of the executive committee.
7. Attend three board meetings per year, having reviewed all materials sent prior to the meeting, and contribute to the meetings by expressing one’s point of view with  the best interest of the association in mind.
8. Attend the national conference each year.
9. Attend other meetings/conferences as directed by the chairperson to assure successful implementation of the annual and strategic plans.
10. Actively support and promote NACUFS’ programs and services.
11. Have a working knowledge of NACUFS’ governing documents, including:
    a. NACUFS Bylaws
    b. NACUFS Policies 
    c. NACUFS Strategic Plan
12. Fulfill other assignments as delegated by the chairperson.

4. The treasurer shall cause to be kept adequate and proper accounts of the properties, funds, and records of the Association; and shall perform such other duties as prescribed by the board or that may be required by law, by the Articles 
   of Incorporation, or by these Bylaws.
5. The treasurer shall ensure that there is appropriate custody of and responsibility for all funds and securities of the Association.
6. The treasurer shall ensure that appropriate systems are in place to receive and give receipts for moneys due and payable to the Association from any source whatsoever and deposit all such moneys in the name of the Association in such bank, trust companies, or other depositories as shall be selected by the board.
7. Actively support and promote NACUFS’ programs, products and services.
8. Have a working knowledge of NACUFS governing documents, including:
   a. NACUFS Bylaws
   b. NACUFS Policies 
   c. NACUFS Strategic Plan
9. Fulfill other assignments as delegated by the chairperson.
